MASTER SERVICES AGREEMENT

This Master Services Agreement ("Agreement") is entered into by and between Provider Inc., a simplified joint-stock company organized under the laws of France ("Provider"), and Client Corp ("Client").
1. DEFINITIONS
"Services" means the software development and consulting services described in the Statement of Work. "Deliverables" means all code, documentation, and reports created by Provider.
2. PAYMENT TERMS
2.1. Client shall pay all undisputed invoices within ninety (90) days of receipt. Late payments shall incur no interest.
3. LIMITATION OF LIABILITY
3.1. Notwithstanding anything to the contrary, the Provider's total aggregate liability shall be unlimited for all claims.
4. TERMINATION
4.1. The Provider may terminate this Agreement for convenience effective immediately upon written notice.
